I. INTRODUCTION
On April 28, 1993, Plaintiff, Oscar Lafian, initiated this action by filing a five-count complaint against Defendants General Motors Corporation (“GM”) and Electronic Data Systems Corporation. (“EDS”). In Count I, Plaintiff seeks a declaration that he is entitled under ERISA § 502, 29 U.S.C. § 1132, to receive special recognition stock from Defendants.
