This dispute arose from a January 2000 interest rate swap agreement between Defendant-Appellee Bank of America (“BOA”)and Plaintiffs-Appellants K3C Inc., Sierra Industries, Inc., (“Companies”), and Mark Huffstutler (“Huffstutler”), the Companies’ sole shareholder (collectively, “Appellants”).
