BUTZNER, Circuit Judge:

Premier Corp., an issuer of securities, appeals from a judgment of the district court, entered on a motion for a directed verdict, dismissing its claim for indemnification or contribution from a broker, Economic Research Analysts, Inc., for losses sustained in connection with illegal sales by the broker in North Carolina. Premier also appeals the dismissal of its claim on a promissory note executed and delivered by the broker. We vacate the judgment in part and remand the case for further proceedings.
