ROSE, Chief Justice.

Consolidated Construction, Inc., a Wyoming corporation, appeals from a decision of the district court which dismissed its counterclaim against appellee Hometown Builders, while granting Hometown Builders a judgment for a claim based on quantum meruit filed against appellant. As a result of the adverse decision below, the *903appellant now raises one basic issue for our consideration: Did the trial court err as a matter of law by applying § 1-12-102, W.S. 1977,1 to the facts of this case?
