J. WOODFIN JONES, Chief Justice.

Brett Bray, Director of the Motor Vehicle Division of the Texas Department of Transportation (“the Division”), and Gulf States Toyota, Inc. (“Gulf States”) appeal a trial court judgment reversing the Division’s final order in a motor vehicle franchise dispute and remanding to the agency for further proceedings.1 The Division concluded that Gulf States did not violate statutory notice and good faith and fair dealing requirements when it offered a replacement franchise agreement to Tejas Toyota, Inc.
