MEMORANDUM OPINION
KOCORAS, District Judge:
This matter is before the court on the defendant’s motion to dismiss plaintiffs’ complaint for breach of contract. Defendant seeks dismissal pursuant to 12(b)(6) of the Federal Rules of Civil Procedure. For the reasons set forth below, defendant’s motion is denied.
BACKGROUND
