OPINION
SWEET, District Judge.
The defendant and third party plaintiff in this action, Manufacturers Hanover Trust Company (“MHT”) has moved pursuant to Rule 56 of the Federal Rules of Civil Procedure for summary judgment dismissing the complaint of plaintiff Olmeca S.A. (“Olmeca”) against MHT or in the alternative granting partial summary judgment with respect to the second transfer at issue. MHT also seeks Rule 12(b)(6) dismissal of Olmeca’s second cause of action for failure to state a claim for which relief can be granted.
