Plaintiffs/Appellants (“Plaintiffs”) are approximately 120 shareholders of SolvEx, a now-defunct New Mexico corpora tion. They brought this class action lawsuit against Defendant/Appellee Merrill Lynch, Pierce, Fenner, & Smith, Inc. (“Merrill Lynch”) in New Mexico state court, alleging fourteen separate counts under New Mexico law. Merrill Lynch removed the case to the United States District Court for the District of New Mexico and then moved to dismiss pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure, citing the court to the Securities Litigation…
