This case is on appeal to us for the second time. It arises from a loan transaction between Appellant Nuveen Municipal Trust (“Nuveen”), on behalf of its “Nu-veen High Yield Municipal Bond Fund,” and Bayonne Medical Center (“Bayonne”). In connection with the transaction, Bayonne provided Nuveen with an audit report authored by Bayonne’s accounting firm, Appellee WithumSmith + Brown, P.C.
