The several demurrers may be considered collectively. The defense and counterclaims are based upon the fact that the plaintiff did not sell the pledged stock immediately upon the restrictions being raised on the sale of Bankshares stock July 1, 1930, at which time said stock sold at $11 per share. It appears that for many years prior to *591January 1, 1930, defendant was president of the First National Bank of Menomonie; that he became one of the original subscribers to the Bankshares capital stock, and upon its organization in 1929 was…
