MEMORANDUM OPINION

EMMET G. SULLIVAN, District Judge.

Plaintiff Frank Adams brings this action under the Age Discrimination in Employment Act (“ADEA”), the Fair Labor Standards Act (“FLSA”), and Title VII of the Civil Rights Act of 1964 (“Title VII”). Pending before the Court is Defendant’s Motion to Dismiss the Complaint pursuant to Federal Rules of Civil Procedure 12(b)(1) and 12(b)(6).
