This is an individual and derivative action brought by plaintiff Torchmark Corporation (“Torchmark”) and its subsidiary, United Investors Management Company, in connection with plaintiffs’ attempt to acquire control of defendant Kansas City Life Insurance Company (“KCL” or the “Company”), a publicly held corporation. The defendants are the company and all fifteen members of its Board of Directors (the “Board”). The plaintiffs seek both mandatory and prohibitory injunctive relief.
