This litigation raises the issue of whether a putative tender offeror has standing under Section 13(d) of the Securities Exchange Act of 1934, 15 U.S.C § 78m(d) (“Section 13(d)” and “Exchange Act”), to bring an action for injunctive relief. The litigation arises in the context of a battle between European companies for control of Spain’s largest electrical utility, Endesa, S.A. (“Endesa”).
