MEMORANDUM & ORDER DENYING MOTION TO DISMISS

DEVITT, Chief Judge.

In this action for declaratory, injunctive, and compensatory relief, defendant has moved under Rule 12 to dismiss the complaint on the grounds that it fails to state a claim upon which relief can be granted because the plaintiff is not the *253real party in interest as required by Rule 17(a), Federal Rules of Civil Procedure.

The dispute arises from a franchise agreement between the plaintiff and the defendant entered into on November 14, 1966. This agreement granted plaintiff the right to construct, operate, sell, or lease…
