EDWARDS, Circuit Judge.

This is an appeal from a judgment of $50,000 entered in favor of plaintiff-appellee and against defendants by a United States District Judge in the Western District of Michigan after trial without a jury.

Plaintiffs were two Michigan corporations (Nationwide Motorist Assoeia tion of Michigan, Inc. and Nationwide Motorist Association of Ohio, Inc.) and four Michigan residents who formed said corporations and served as stockholders and officers of same.
