This cause comes before the court on plaintiff’s motion for summary judgment pursuant to Rule 56(c), Fed.R.Civ.P., on the issue of the defendants’ liability under: 1) Section 10(b) of the Securities Exchange Act of 1934 (15 U.S.C. § 78j(b) (1977)); and Rule 10b-5 promulgated thereunder (17 C.F.R. § 240.10b-5 (1977)); 2) Sections 214 and 20a(11) of the Interstate Commerce Act of 1920 (49 U.S.C. §§ 314, 20a(11) (1978)), and; 3) Section 12 of the Illinois Securities Law of 1953 (Ill.Rev.Stat., ch. 121%, § 137.-12 (1978)).
