AMENDED MEMORANDUM OPINION AND ORDER

KEITH STARRETT, District Judge.

This matter is before the court on Joint Motion to Dismiss [# 8] filed on behalf of the defendants pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure.
