Appeal by the defendants, Benjamin E. Chase,and others, from an interlocutory judgment of the Supreme Court in favor of 'the plaintiff, entered'in the office of the clerk of the county of Monroe on the 1st day of September, 1906, upon the decision of the court, rendered after a trial at the Monroe Special Term, overruling the said defendants’ demurrers to the complaint.-

Spring, J.:

The action is commenced by the plaintiff in his own behalf and all others similarly situated as creditors of the Boclrester-Mexican Plantation Company, a domestic stock corporation, to recover of the stockholders of such corporation sums alleged to be unpaid on their stock. The. action is in equity, and the stockholders and receiver of the corporation are made parties defendant. Section 54 of the Stock Corporation Law (Laws of 1892, chap. 688, as amd. by Laws of 1901, chap. 354), which is -the warrant for the action, so far as pertinent, is as follows: “Every holder of capital…
