The matters before the Court are Motions to Dismiss filed by William Freid and Georgia Freid (collectively, the “Freids”), stockholder and creditors, of the Chapter 11 Debtors, Country Estates Nursing Home, Inc. (“Country Estates”), Forest-view Nursing Home of Wareham, Inc. (“Forestview”), Meadowbrook Nursing Home, Inc. (“Meadowbrook”), and Roch-dale Commons Nursing Home, Inc.
