OPINION
McKELVIE, District Judge.
This is a bankruptcy ease. Marvel Entertainment Group, Inc. (“Marvel”) and certain of its subsidiaries are debtors-in-possession in Chapter 11 proceedings. Appellants Official Bondholders Committee (“the Bondholders Committee”) and LaSalle National Bank (“LaSalle”) appeal from the March 24, 1997 order of the United States Bankruptcy Court for the District of Delaware enjoining the exercise of shareholder voting rights to replace Marvel’s board of directors.
