Opinion Denying Confirmation of Debtors’ Plan of Reorganization

I. Introduction
This opinion addresses the Debtors’ request for confirmation of their combined joint plan of reorganization and disclosure statement. Dime, LLC, as administrative agent for Wells Fargo Bank, N.A. and Fifth Third Bank (collectively referred to as the “Lender”) objected to confirmation.
