Plaintiff, the holder of 200 shares of the stock of Decca Records, Inc., began this action on the afternoon of April 9, 1954, to enjoin the holding of the regularly scheduled annual stockholders meeting of Decca Records, Inc., on April 13, 1954. She urges that the Decca proxy statement was false and misleading with respect to the statement of compensation paid to Milton R.
