MacLAUGHLIN, District Judge.
This matter is before the Court on defendant’s motion to dismiss for lack of subject matter jurisdiction and plaintiff’s motion to amend its complaint to properly allege diversity jurisdiction.
FACTS 1
This lawsuit involves a dispute arising out of a hotel management agreement entered into by plaintiff North Star Hotels Corporation (North Star) and defendant Mid-City Hotel Associates (Mid-City) on September 11, 1978.
