Prior to August 2, 1926, the defendants Frank.B. Zieglar and Harry F. Carling were the owners of a tract of land in San Diego County, which property John B. Zeller, M. Reiss, Ed. F. Gilbert, John W. Waybright and A. E. Davies desired to purchase for the purpose of subdividing into smaller parcels and selling. With this purpose in view the land was deeded to the Union Trust Company of San Diego and a declaration of trust executed by all the parties.
