LOREN, Circuit Judge.

In 1994, Allina Health Systems, Inc. (“Allina”), conducted a three month investigation and concluded that serious billing improprieties had taken place at the Minneapolis Psychiatric Institute (“MPT”), a wholly owned Allina subsidiary, and that Richard Palmisano, Vice-President of Alli-na’s Behavioral Health Services division and a director of MPI, knew or should have known of the improprieties.
