This action was commenced in one of the superior courts of the state on the 7th of February, 1889. Among other tilings, the complaint alleges, in substance, that during the times therein mentioned the plaintiff was and still Is a corporation duly organized and existing under the laws of the state of California, for the purpose, among other purposes, of buying, selling, and otherwise disposing of lands, waters, and water-rights; and that from the time of its organization until May 2, 1888, the defendant was one of its directors.
