MEMORANDUM OPINION

This action arises out of a contract between plaintiff, FedEx Ground Package System, Inc. (“FXG”) and defendant, Applications International Corporation (“AIC”). FXG alleges that AIC breached a contract to develop and maintain a computer software and database program known as the Safety Compliance Manage ment System (“SCMS” or “AIC SCMS”). [Doc. No. 54]. In addition, FXG asserts claims for unjust enrichment, conversion, and declaratory judgment.
