Facts and Procedural History
The following facts are taken from the Amended Complaint of appellee Comdyne, Inc. (Comdyne). George T. Corbin, appellant, was the founder and, until 1982, a director and the sole shareholder of Corbin Sales Corporation, a company in the business of manufacturing and selling filament-wound cylinders used primarily in national defense contracts.
