William H. Grant, the owner of 374 shares of the capital stock of Bozarth Motor Sales, Inc., an Illinois corporation, entered into a written agreement with Dean Milani on December 22,1950, in which he agreed to sell to Milani and Milani agreed to buy said stock for $95,000, of which sum $80,000 was to be paid upon the execution of the contract and the balance was to be deposited in escrow.
