— William B. Lount, hereinafter called' decedent, and Hattie L. Mosher, his sister, hereinafter called defendant, were members of the partnership known as the City Ice Delivery Company, of Phoenix, Arizona, hereinafter called the company. Decedent owned eleven-sixteenths interest in the company, and defendant owned and now owns five-sixteenths interest therein. Dnring the lifetime of the decedent he was the sole manager of the company and handled all its business; defendant taking no active part therein.
