Appeal from District Court, Bexar County; A. W. Seeligson, Judge. Action by W. W. Sanger against the San Antonio Hardware Company. Judgment for plaintiff, and defendant appeals.

This is a suit by appellee on two promissory notes for $4,000 each, executed by appellant, credits being admitted of $5,-066.67, leaving a balance due of $3,765.97, with interest at the rate of 5 per cent, per annum from January 25, 1910, and 10 per cent, attorney’s fees. The defense was that appellee was a stockholder in the company, which was a corporation duly incorporated by the laws of Texas, holding 45 shares; that his wife also held 45 shares; that B. J. Sanger, Joseph W. Sanger, and Edwin Oppenheimer each held 10 shares which they indorsed to appellee, and he endeavored to sell all of…
