This matter comes before the Court on defendants’ motions for summary judgment pursuant to Federal Rule of Civil Procedure 56. In its second amended complaint, plaintiff American Marine Rail NJ, LLC (“AMR NJ”) contends that the conduct of the defendants — the City of Bayonne (“Bayonne”), County of Hudson (“Hudson County”), the Hudson County Improvement Authority (“HCIA”), and former Hudson County Executive Robert Janiszewski (“Janiszewski”) — violated the Commerce Clause and the Fifth and Fourteenth Amendments to the United States Constitution.
