MEMORANDUM OPINION AND ORDER
SANDERS, District Judge.
In this diversity case, Plaintiff Don Farris, Trustee (“Farris”), a resident of Texas, filed his Original Complaint on January 23, 1980, against Defendant Sambo’s Restaurants, Inc. (“Sambo’s”), a California corporation with its principal place of business in Santa Barbara, California, seeking damages for breach of a lease agreement, the performance of which was guaranteed by Sambo’s.
