OPINION AND ORDER
LEISURE, District Judge:
This is an action brought by a mutual fund shareholder alleging violations of several provisions of the Investment Company Act of 1940 (the “ICA”), 15 U.S.C. §§ 80a-l to -64 (1988 & Supp. Ill 1991), and common law breach of fiduciary duty. Defendants move for dismissal of two of plaintiffs four claims pursuant to FedR.Civ.P. 12(b)(1) and 12(b)(6). For the reasons stated below, the Court dismisses plaintiffs Fourth Glaim, brought under § 20(a) of the ICA, 15 U.S.C. 80a-20(a) (1988), as time-barred.
