MEMORANDUM OPINION

Plaintiff Rainbow Investments, Inc., brought suit against defendant Super 8 Motels, Inc. in the circuit court of Lee County, Alabama on March 10,1997. 1 The complaint, which arose out of steps the parties took towards executing a franchise agreement, included counts for breach of an oral contract, conversion, unjust enrichment, and various types of fraud, all under Alabama state law.
