FEIKENS, District Judge.
I. INTRODUCTION
Plaintiff James Loper (Loper), a Michigan resident, was employed by Computer Network Technology Corporation (CNT), a Minnesota corporation, as a Regional Sales Manager (RSM) from June 1997 until May 1999. Each year he received an annual quota for sales, divided into quarters, and his compensation was governed by a separate annual compensation plan incorporating the quota. In 1998, Loper fell short of his quota for the last two consecutive quarters, and fell short again for the first quarter of 1999. In May 1999 Loper voluntarily resigned…
