This is an action in equity for an accounting.. Plaintiff in his complaint alleges that the defendants conspired to ' and did, by fraud and misrepresentation, induce him to part with shares owned by him in the Yarns Corporation of America for a *839price below their actual value. He claims that, were it not for such fraud, misrepresentation and conspiracy, he would not have sold his stock for so low a price.
