Appeal by the' defendants, John A. Moore and others, from an interlocutory judgment of the Supreme Court in favor of the plaintiff, entered in the office of the clerk of the county of Dutchess on the 15th day of June 1901, upon the decision of the court rendered after a trial at the Kings County Special Term.

The question in this case relates to the title to the property and profits of a. business carried on from August .2.6,1897, to March 5, 190.1. Card, the plaintiff, and Morehouse made a written agreement on August 26, 1897. That agreement provided that Card, who was a lawyer licensed to practice in the State of Connecticut, together with Morehouse and Crandall, should form a corporation to be known as, the Salisbury Carbonate Iron Company, of Connecticut, with a capital stock of $30,000, “ and the company to be formed to the extent of obtaining the name, the election of directors and…
