MEMORANDUM OPINION
WINGATE, District Judge.
Before this court is the motion of corporate defendant Jay dev Patel Purchasing Group (“defendant” or “JPPG”) for summary judgment pursuant to Rule 56(b), Federal Rules of Civil Procedure. 1 Plaintiffs first amended complaint, filed on December 27, 1990, sets forth four counts. Count I alleges tortious breach of contract. Count II is a claim against defendants for bad faith, negligence and breach of contractual duty.
