ROTH, Circuit Judge:
In this action, plaintiff Bensalem Township (Township) appeals the district court order dismissing its complaint against defendants, International Surplus Lines Insurance Co. and Crum & Forster Managers Corp. (Insurers), for failure to state a claim pursuant to Fed.R.Civ.P. 12(b)(6). Township had contracted with Insurers for professional liability insurance covering all civil claims first made against the town or its officials during the policy period.
