This matter is now before the Court on appeal from a decision and order entered by the United States Bankruptcy Court for the District of Rhode Island on September 11, 1992, 144 B.R. 228. The Trustee, Arnold L. Blasbalg, appeals the Bankruptcy Court's determination that the alleged debt from the Debtor, Hyperion Enterprises, Inc. (“Hyperion”) to Thomas Tarro/Telesis Financial Services (“Tarro”) should be neither recharacterized as a contribution to capital nor equitably subordinated, and that Tarro’s security interest is not voidable as a preferential…
