MEMORANDUM OPINION

KATZ, District Judge.

This matter is before the Court on Defendants’ motion for summary judgment, Plaintiffs opposition, Defendants’ reply, Plaintiffs sur-reply thereto. This Court has jurisdiction pursuant to 28 U.S.C. § 1332. For the reasons that follow, Defendants’ motion for summary judgment is granted in part and denied in part.
