CLEMENT, District Judge.

Before the Court are defendants Quarter House, Oak Ridge Park, Inc. and Quarter House Owner’s Association Inc.’s Motions to Dismiss pursuant to Fed.R.Civ.Proc. 12(b)(1), Rule 12(b)(4), Rule 12(b)(6) and Motion for Summary Judgment pursuant to Fed.R.Civ. Proc. 56(b).
