OPINION

SCOTT, Justice.

Mark A. Phipps commenced this action in Hennepin County District Court in September, 1985. In their answer defendants, Clark Oil & Refining Corporation (Clark Oil) and Leroy Chmielewski, asserted that the complaint failed to state a claim upon which relief could be granted. On December 16, 1985, defendants moved for judgment on the pleadings pursuant to Rule 12.03 of the Minnesota Rules of Civil Procedure.
