OPINION
CANNELLA, District Judge:
This action arises out of a tender offer by Tesoro Petroleum Corporation (“Tesoro”) for 5.5 million shares of the publicly-held common stock of Commonwealth Oil Refining Company, Inc. (“Commonwealth” or “Coreo”). On Wednesday, April 23, 1975, Coreo, the target company, commenced the instant action which alleges numerous violations of the provisions of the Federal Securities Laws and the margin requirements of the Federal Reserve Board.
