MEMORANDUM AND ORDER
DEVITT, Chief Judge.
Minneapolis Shareholders, Inc. (the Company), a nonoperating corporation composed of the former shareholders of Grain Belt Breweries, Inc., seeks to preliminarily enjoin its largest shareholder, Irwin L. Jacobs, from proceeding with a tender offer directed to the other shareholders of the Company. Jacobs offers $5.30 in exchange for the tender of a share and the tendering shareholder’s release of any claims he or she may have against any of the defendants in this action.
