I. INTRODUCTION

A group of investors bring this action for common law fraud in connection with the purchase and holding of Enzo Bio-chem, Inc. (“Enzo”) securities, against the corporation, certain of its officers and directors (collectively, the “Enzo defendants”) and one outside consultant.
