I. Procedural and Factual Background
This is a diversity case, brought pursuant to 28 U.S.C. § 1332, wherein Plaintiff asserts the following claims for relief: Wrongful Discharge (Claim 1); Breach of the Express or Implied in Law or in Fact Covenant of Good Faith and Fair Dealing (Claim 2); and Breach of Contract (Claim 3). (Third Amended Complaint, filed October 25, 1995).
