DONALD RUSSELL, Circuit Judge:

This is a suit wherein the plaintiff (Ray-buck), a retired management employee of the defendant (USX), sought to recover damages for breach of a series of stock options issued to him from 1978 to 1983 under a Management Employees Incentive Plan (Plan). The plaintiff appended to his breach of contract count a whole range of claims premised on theories of implied contract, breach of fiduciary duty, intentional interference with property, fraud, constructive fraud and negligent misrepresentations.
