This matter comes before the court on the motions for summary judgment and partial summary judgment filed by Southern Electric Corporation (“SEC”) against Utilities Board of the City of Foley, Alabama, d/b/a/ Riviera Utilities (“Riviera”), and by Riviera against SEC. (Docs. 118, 123, and 128). This court has subject mat ter jurisdiction pursuant to 28 U.S.C. § 1332. No party disputes personal jurisdiction or venue.
